The Board

The governing body of the corporation shall be the Board. The Board shall consist of not less than 5 and not more than 15 volunteer Board members. The Director of the Camp Verde Community Library shall be an automatic non-voting Ex-Officio member of the Board.

A.	Board members shall serve a term of three (3) years, with no limit to years of service.
B.	New Board members should be recruited via letters of interest, vetted, and voted on by the Board in a special meeting immediately prior to the October meeting.
C.	Terms should be staggered, allowing for approximately one-third of the membership to complete a three-years term each year.
D.	Should a vacancy occur before a term is completed, the person who fills the vacancy shall complete the term.
E.	A Board member shall be removed from office upon three (3) consecutive absences from regularly scheduled meeting without due cause.

Officers

A.	President:	The President shall preside at all meetings, sign all checks and documents, and be a designated signatory on all financial documents/issued by the Treasurer. The President shall assist the Secretary in drafting the agenda for all meetings.
B.	Secretary:	The Secretary will keep records of all meetings, assist the President in drafting the agenda, notify members of the meetings, distribute minutes to the Board members and be a designated signatory on financial documents/checks issued by the treasurer. The Secretary will preside at meetings in the absence of the President. The Secretary shall also be the signatory of record for the corporation.
C.	Treasurer:	The Treasurer will deposit and disburse monies as directed by action of the Board, report monthly financial disbursements and conditions of the CVLE at regularly scheduled meetings and at other times as requested by the Board.
D.	Historian:	This position will not be filled until deemed appropriate by the Board.
E.	Vacancies:	Officer vacancies may be filled by a majority vote of the Board present and elected from the current Board members.
